TRADING TERMS

1. Payment Terms:

a. Payment is required before commencement of work via direct deposit.
b. By making payment to Mad Cat Marketing the Client is agreeing to the scope of work and terms and conditions contained herein.
c. Once payment has been provided to Mad Cat Marketing no refunds will be granted once work has begun.
d. Account terms are strictly 7 days.
e. If your account falls 7 days overdue from the due date of the last invoice shared with you, your services will be placed on hold until the account is fully paid and all dues cleared. A further fee of $180 will be incurred to recommence your services.
f. A monthly account fee of 1.5% is charged on all overdue accounts. A minimum fee of $2 will apply to cover administration costs.
g. In the event where your overdue account is referred to a collection agency and/or law firm, you will be liable for all costs which would be incurred as if the debt is collected in full, including commission on collection of the additional costs and also including legal demand costs.

2. Third Party Fees:

a. Payment of third-party fees such as Facebook Advertising and Google Ads are the responsibility of the Client.
b. No refunds or credits will be issued by Mad Cat Marketing for delayed or unfulfilled services due to late payment of third-party fees.

3. Relationship of Parties:

a. It is understood between the parties that Mad Cat Marketing is and shall remain an independent contractor and is not an employee of the Client.

The Client will not provide fringe benefits including superannuation, paid leave or any other employee benefits. Mad Cat Marketing and the Client agree to the following rights consistent with an independent contractor status:

b. Mad Cat Marketing has the right to perform services for others during the term of this Agreement.
c. Mad Cat Marketing has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.
d. Mad Cat Marketing has the right to hire assistants as subcontractors, or to use employees to provide the services required by this Agreement.

4. Confidentiality:

a. Mad Cat Marketing agrees to keep all information provided by the Client in complete confidence.
b. Mad Cat Marketing recognises that the Client may disclose future plans, business affairs and personal and financial information. Mad Cat Marketing will not at any time, share this information with a third party.

5. Graphic Design:

a. The Client understands that they must approve and proofread all final designs. The Client takes all responsibility in this area and cannot hold Mad Cat Marketing liable for any spelling or grammatical errors.
b. Any costs incurred by Mad Cat Marketing for fonts and the like will be passed onto the Client. Any purchases will be discussed and approved by the Client before purchase.

6. Website Design & Maintenance:

a. Mad Cat Marketing takes no responsibility for work undertaken by either the Client or a third party. Any damage that occurs due to the Client or a third party shall be assessed and repaired by Mad Cat Marketing at their currently hourly rate.
b. Mad Cat Marketing will take all measures to ensure that the Client’s website is designed as secure as possible. However, the Client acknowledges that it is impossible that Mad Cat Marketing to guarantee protection against hackers or unauthorised third parties. In the event that the website security is compromised, the Client agrees not to hold Mad Cat Marketing liable for any damages. This includes but is not limited to: file corruption or deletion, medication of website or access to sensitive data by an unauthorised party.
c. The following fees are not included:

i. Domain registration and web hosting
ii. Purchase of stock photography
iii. Any graphic design elements that are needed

7. Indemnification:

a. The Client shall indemnify and hold Mad Cat Marketing harmless from any loss or liability arising from actions taken or situations created as a result of the advice or recommendations made by Mad Cat Marketing.

8. Expiration:

a. The project estimates and schedules outlined in a Mad Cat Marketing proposal are valid for 30 days from the date of the proposal. Mad Cat Marketing reserves the right to review and adjust these estimates and schedules if the Client does not approve of the proposal within 30 days.

9. Guarantees:

a. SEO 90 DAY GUARANTEE – 90 day offer begins from the day we receive all the access to your site as needed. Any changes made by you or your affiliates to our final services will render this offer void.

Mad Cat Marketing will provide our SEO services for free for 1 month.
